If you are using Carna on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms. If you do not agree, you must not use the service. ## 2. In these terms, "Carna", "we", "us", and "our" refer to Carna Labs Limited. ## 3. Description of the service Carna is an AI English product family for individuals, schools, businesses, and assessment. Our products use artificial intelligence to deliver personalised English learning, practice, feedback, and evaluation. We may add, change, or remove features over time as we improve the service. ## 4. Accounts and eligibility To use most features you must create an account. You agree to provide accurate information, keep your credentials secure, and take responsibility for activity under your account. You must be old enough to form a binding contract in your jurisdiction, or use the service under the supervision and consent of a parent, guardian, or school where the product is intended for younger learners. ## 5. Acceptable use You agree not to: - use Carna for any unlawful, harmful, or abusive purpose; - attempt to access, disrupt, or reverse-engineer the service or its systems; - upload content that infringes the rights of others or is illegal; - share your account or resell access without our permission; - use automated means to extract data beyond what we expressly allow. We may suspend or limit access if we reasonably believe these terms are being breached. ## 6. Subscriptions and billing Carna offers a free tier alongside paid plans. The Carna AI Tutor includes a free plan and a paid Pro plan for individuals. Institutional products for schools and businesses are licensed on a per-seat basis, typically as annual subscriptions arranged through our sales team. Paid plans renew automatically unless cancelled before the renewal date. Fees are charged in advance and are non-refundable except where required by law. We will give reasonable notice of any change to pricing. ## 7. Intellectual property Carna, including its software, content, branding, and underlying technology, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for its intended purpose. You may not copy, modify, distribute, or create derivative works except as permitted by these terms or applicable law. ## 8. User content You retain ownership of the content you submit to Carna, such as essays and speaking practice. By submitting content, you grant us a licence to host, process, and use it to provide and improve the service, including generating AI feedback and progress insights. You are responsible for ensuring you have the right to submit any content you provide. ## 9. Disclaimers and limitation of liability Carna is provided on an "as is" and "as available" basis. While we work hard to deliver accurate and helpful learning experiences, AI-generated output can be incomplete or incorrect, and the service is not a substitute for professional advice. To the fullest extent permitted by law, we exclude implied warranties and limit our liability for any indirect, incidental, or consequential loss. Nothing in these terms limits liability that cannot be excluded by law. ## 10. Termination You may stop using Carna and close your account at any time. We may suspend or terminate your access if you breach these terms, if required by law, or if we discontinue the service. Provisions that by their nature should survive termination — such as intellectual property, disclaimers, and limitation of liability — will continue to apply. ## 11. Governing law These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory local law gives you the right to bring proceedings elsewhere. ## 12.
