Terms of Service for Carna Technologies LTD

Welcome to Carna! These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, AI-powered language tutoring and assessment services, and other products (collectively, the "Service") provided by Carna Technologies LTD ("Carna," "we," "us," or "our").

By creating an account, purchasing a subscription, or using our Service in any way, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

• "Service" refers to the Carna language learning platform, the Carna English Test, mobile applications, websites, and all related content and software.
• "User" ("you," "your") refers to any individual accessing the Service for personal use.
• "Business User" refers to an organization (e.g., a school or company) that has entered into a separate agreement with Carna to provide the Service to its members.
• "User Content" means any content you create, submit, or generate through the Service, including text, practice exercises, and essays.
• "Subscription" refers to a paid plan providing access to premium features of the Service for a specified term.

2. User Accounts

• Eligibility: You must be at least 13 years old to use the Service. If you are under 18, you must have the permission of a parent or legal guardian.
• Registration: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
• Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You must notify Carna immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not share your individual account with others.

3. Subscriptions, Payments, and Cancellation

• Subscriptions: Certain parts of the Service are available only through a paid Subscription. Subscriptions may be offered on a monthly or annual basis.
• Billing: By providing a payment method, you authorize us (through our third-party payment processors) to charge you the subscription fee at the then-current rate.
• Automatic Renewal: To ensure uninterrupted service, your Subscription will automatically renew at the end of each subscription term. You will be charged the renewal fee unless you cancel your Subscription through your account settings before the end of the current term.
• Price Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any price changes.
• Cancellation: You may cancel your Subscription at any time. The cancellation will take effect at the end of your current billing period. We do not provide refunds or credits for any partial subscription periods.
• Free Trials: We may offer free trials. If you do not cancel before the end of the free trial period, you will be automatically charged for the Subscription.

4. The Carna English Test

• Purpose: The Carna English Test is a diagnostic tool designed to assess English language proficiency.
• Test Integrity: You agree to take the test honestly and without any external assistance, including help from other people, unauthorized software, or reference materials. Violation of these rules may result in the invalidation of your test score and termination of your account.
• Use of Results: The test provides a score aligned with the Common European Framework of Reference (CEFR). While the test is a reliable indicator of proficiency, we do not guarantee its acceptance for any specific third-party purpose (e.g., university admissions, visa applications). It is your responsibility to verify acceptance with the relevant institution.

5. Carna for Business & Schools

If you are accessing the Service as an employee, student, or member of an organization that is a Business User, your use of the Service is governed by the terms of a separate Master Service Agreement (MSA) between Carna and that organization. In the event of a conflict between these Terms and the MSA, the terms of the MSA will prevail.

6. Acceptable Use Policy

You agree not to misuse the Service. You will not, and will not permit any third party to:

• Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.
• Use the Service for any illegal or unauthorized purpose.
• Upload any User Content that is unlawful, harmful, or infringes on the rights of others.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or its related systems.

7. Intellectual Property Rights

All rights, title, and interest in and to the Service (excluding User Content), including all associated intellectual property rights, are and will remain the exclusive property of Carna Technologies LTD and its licensors. The Carna name, logo, and all related names are trademarks of Carna Technologies LTD. You may not use them without our prior written permission.

8. User Content

You retain ownership of your User Content. However, by creating or submitting User Content through the Service, you grant Carna a worldwide, non-exclusive, royalty-free license to use, copy, modify, distribute, and process such content solely for the purposes of operating, developing, providing, and improving the Service.

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal data. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy. We process personal data in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

10. Disclaimers and Limitation of Liability

• "As Is" Service: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CARNA TECHNOLOGIES LTD EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• No Guarantee of Fluency: Carna is a tool to assist your language learning. We make no guarantee that use of the Service will result in language fluency or achieve any specific academic or professional outcome.
• Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CARNA TECHNOLOGIES LTD, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE. IN NO EVENT SHALL CARNA'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED POUNDS STERLING (£100) OR THE AMOUNTS PAID BY YOU TO CARNA FOR THE USE OF THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Carna Technologies LTD and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from your use of and access to the Service, or your violation of any term of these Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the courts of England and Wales.

13. General Terms

• Changes to Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
• Entire Agreement: These Terms constitute the entire agreement between you and Carna Technologies LTD regarding our Service and supersede and replace any prior agreements we might have between us.
• Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
